These Terms and Conditions apply to all users who book, access, or use Wndrtrip services on or after the effective date. By completing a booking or using our platform, you agree to be bound by the version of these Terms in effect at the time of your booking.

Welcome to Wndrtrip! These Terms and Conditions ("Terms") govern your use of the Wndrtrip website, platform, and services, including participation in curated travel experiences and interaction with our community. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. DEFINITIONS

• "Wndrtrip," "we," "us," or "our" refers to Wndrtrip Inc., a Delaware corporation.
• "User" refers to anyone who accesses or uses Wndrtrip's platform or services.
• "Traveler" means a user who books or participates in a Wndrtrip expedition.
• "Creator" means an individual engaged as an independent contractor to co-host a trip.
• "Expedition" or "Trip" means any curated group travel experience organized and promoted under the Wndrtrip brand.

2. ACCEPTANCE OF TERMS

By using our website, booking a trip, or engaging with Wndrtrip in any capacity, you agree to these Terms and our Privacy Policy. Continued use of the services following changes to the Terms constitutes acceptance of those changes.

3. ELIGIBILITY

You must be at least 18 years old and capable of entering into legally binding contracts to use our services. By accessing our platform, you represent that you meet these criteria.

4. ACCOUNT REGISTRATION

Users may be required to create an account to book trips. You agree to provide accurate information and keep your login credentials confidential. You are responsible for all activity under your account.

5. BOOKING AND PAYMENTS

• All trip payments must be made through Wndrtrip's official booking system. Payment terms, cancellation deadlines, and refund eligibility will be specified during the booking process.
• Wndrtrip is not responsible for payments made outside of our platform.
• Trips are only confirmed upon meeting the minimum participant threshold (typically 8 travelers, excluding the Creator).
• If the threshold is not met 40 days before departure, Wndrtrip may cancel the trip and issue full refunds.

6. USER CONDUCT

You agree not to:

• Engage in fraudulent, illegal, or abusive behavior on the platform.
• Misuse booking systems or impersonate others.
• Harass, abuse, or endanger fellow users, Creators, or Wndrtrip staff.

We reserve the right to suspend or terminate accounts that violate these terms.

7. TRAVEL RISKS AND LIABILITY WAIVER

Participation in a Wndrtrip expedition involves inherent risks, including but not limited to:

• Accidents, injuries, or illness
• Natural disasters, pandemics, and political instability
• Transportation delays or third-party failures

By booking a trip, you acknowledge and accept these risks and agree to the terms outlined in Appendix A: Liability Waiver and Release Agreement, which is incorporated into and forms an integral part of these Terms and Conditions. You release Wndrtrip from liability for any claims arising from your participation, except in cases of gross negligence or willful misconduct.

8. MEDICAL FITNESS AND INSURANCE

You affirm that you are medically fit for travel. Wndrtrip may provide minimal coverage, but travelers are responsible for securing additional insurance as needed.

9. INTELLECTUAL PROPERTY

All content on the Wndrtrip website and marketing materials is owned by Wndrtrip or licensed appropriately. You may not copy, distribute, or use Wndrtrip content or brand assets without written permission.

10. CONTENT AND PHOTOGRAPHY

By participating in a trip, you grant Wndrtrip the right to use photographs or videos in which you appear for promotional purposes, in accordance with our Photography Release.

11. THIRD-PARTY SERVICES

Wndrtrip is not liable for services provided by third parties, including accommodation, transport, and local guides. Claims related to third-party services must be directed to those providers.

12. MODIFICATIONS TO SERVICES

We may modify or discontinue any service at our discretion. We will attempt to notify users of material changes but are not obligated to do so.

13. TERMINATION

We reserve the right to suspend or terminate access for users who violate these Terms. You may terminate your account at any time by contacting us at info@wndrtrip.com.

14. LIMITATION OF LIABILITY

Wndrtrip shall not be liable for indirect, incidental, or consequential damages. Total liability is capped at the amount paid by the user for the disputed service. This mirrors our limitation of liability clauses in both user and creator contracts.

15. DISPUTE RESOLUTION

These Terms are governed by the laws of Delaware. Any disputes shall be resolved in courts located in New Castle County, Delaware. Wndrtrip may elect to resolve disputes via binding arbitration.

16. PRIVACY POLICY

Your use of Wndrtrip services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal data.

17. FORCE MAJEURE

Wndrtrip is not liable for failure to perform due to events beyond our control, including natural disasters, war, epidemics, or transportation failures.

18. CHANGES TO TERMS

We may update these Terms from time to time. When we do, we'll revise the "Effective Date." Continued use of the services after changes take effect constitutes acceptance.

APPENDIX A: LIABILITY WAIVER AND RELEASE AGREEMENT

1. ACKNOWLEDGMENT OF RISKS

I acknowledge that I have voluntarily chosen to participate in a trip organized by Wndrtrip Inc., its agents, affiliates, officers, employees, contractors, and representatives (collectively, "Wndrtrip"). I understand that this trip involves inherent risks, dangers, and hazards, including but not limited to:

• Transportation accidents (air, land, water, or otherwise)
• Physical injury from activities including, but not limited to, hiking, swimming, vehicle use, animal encounters, or natural disasters
• Illness or disease including food poisoning, COVID-19, or other communicable diseases
• Delays, cancellations, or changes in itinerary due to weather, governmental actions, terrorism, or force majeure events
• Actions or negligence of third-party service providers (e.g., local guides, accommodation hosts, transport operators)

I understand that these risks may result in serious injury, illness, permanent disability, or death, and I knowingly and freely assume all such risks.

2. WAIVER AND RELEASE OF LIABILITY

To the fullest extent permitted by law, I hereby waive, release, and discharge Wndrtrip from any and all claims, actions, suits, demands, losses, liabilities, damages, costs, and expenses (including attorney's fees) which I now have or may have in the future for any loss, damage, injury, or death arising out of or in connection with:

• Participation in any Wndrtrip trip or activity
• The provision of or failure to provide transportation, accommodations, food, or other services
• Acts or omissions of other trip participants and/or third-party providers
• Any force majeure and/or unforeseeable event beyond Wndrtrip's control

I understand and agree that Wndrtrip shall not be held liable for any claims, injuries, damages, or losses arising out of or in connection with my participation in the trip, including but not limited to those arising from the ordinary negligence of Wndrtrip or its agents, to the fullest extent permitted by law.

3. INDEMNIFICATION

I agree to defend, indemnify, and hold harmless Wndrtrip from and against any and all claims, demands, actions, suits, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

• My breach of this Agreement
• My conduct during the trip, including violation of local laws or customs
• Any injury or damage caused to other persons or property by my actions

4. INDEPENDENT CONTRACTORS

I understand that Wndrtrip may use independent contractors, including but not limited to local guides, drivers, accommodations, and activity providers. I acknowledge that:

• Wndrtrip does not own, operate, or control these third-party providers
• Wndrtrip is not responsible for their acts or omissions
• Any claims arising from the conduct of such providers must be made directly against them

5. MEDICAL FITNESS AND INSURANCE

I represent that I am in good health and physically fit to participate in the trip. I understand that Wndrtrip provides minimum coverage for health and accident insurance. I acknowledge that it is my responsibility to review the terms and conditions of this coverage, and to obtain additional insurance if I deem it necessary. I authorize Wndrtrip to seek emergency medical treatment on my behalf if required, and I accept full responsibility for any associated costs. I further acknowledge that Wndrtrip is not liable for any emergency medical treatment provided or for any resulting costs, outcomes, or consequences.

6. PHOTOGRAPHY RELEASE

I grant Wndrtrip the right to take photographs and/or video recordings of me during the trip and to use them for marketing, promotional, and/or commercial purposes without compensation. I acknowledge that photographs and/or video recordings of me may be stored, retained and/or used by Wndrtrip for as long as required to fulfill its business purpose.

7. GOVERNING LAW AND SEVERABILITY

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved in courts located in New Castle County, Delaware. If any provision is deemed unenforceable, the remainder shall remain in full force.

8. ENTIRE AGREEMENT

This document constitutes the entire agreement between me and Wndrtrip. It supersedes all prior communications, whether oral or written. No modification shall be effective unless in writing and signed by both parties.

9. CONFIRMATION OF AGREEMENT

By completing a booking or using Wndrtrip services, I acknowledge that I have read, understood, and agree to be bound by the terms of this Liability Waiver and Release Agreement. I understand that I am waiving certain legal rights, including the right to sue, and that my continued use of Wndrtrip's platform constitutes my full acceptance of these terms.
